How do I get incorporation paperwork done for my client?

You can get incorporation paperwork done for your client by entering the necessary information and obtaining electronic signatures from the incorporator. Either someone at your law firm or someone at your client can be the incorporator.

You can follow the steps below to complete incorporation paperwork for your client.

  1. Fill out the required information for the incorporation document set and then send a signature request to the incorporator’s email address.

  1. The person acting as incorporator can click to view the signature request on Clerky.

  1. They can then review the documents to be signed.

  1. They can create their electronic signature.

  1. They can then click Sign Documents Electronically.

After the documents are signed, whoever started the document set will be prompted for payment. If someone at your law firm started the document set, the payment can be included in fixed-fee pricing, or you can invoice the client for reimbursement. After the certificate of incorporation is submitted for filing, you and your client must wait until the Delaware Division of Corporations accepts the filing and returns the filed certificate of incorporation to Clerky. When we receive it, we'll upload it to the incorporation document set. The person who started the incorporation document set will receive an email letting them know that they can proceed with the rest of the formation paperwork. The person who acted as incorporator will receive an email with the finalized documents, including the filed certificate of incorporation. If you acted as incorporator and started the incorporation document set, you’ll receive both emails.
